Terms & Conditions

1. Acceptance of terms

By creating an account on Digitoly Billing, you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you ("User", "you") and Digitoly Consulting Private Limited ("Digitoly", "we", "us").

2. Description of service

Digitoly Billing is a cloud-based GST invoicing and business management platform. It provides tools for creating GST-compliant invoices, managing customers and products, tracking orders and payments, and generating GST reports. The service is provided on a subscription basis.

3. Account registration

You must: • Be at least 18 years of age to create an account • Provide accurate and truthful information during registration • Keep your login credentials confidential • Notify us immediately of any unauthorised access • Be responsible for all activity that occurs under your account

4. Subscription and payment

Digitoly Billing is available under three paid plans: Starter (₹299/month · 1,200 invoices), Growth (₹599/month · unlimited invoices), and Pro (₹999/month · all features). Annual subscriptions are offered at a 25% discount. All prices are exclusive of GST. GST at the applicable rate will be added at checkout. Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel at any time from your account settings. We reserve the right to change subscription prices with 30 days' notice.

5. Free trial

All plans include a 14-day free trial. No credit card is required for the trial. At the end of the trial, you will be prompted to subscribe to continue using the service.

6. Acceptable use

You agree not to: • Use the service for any unlawful purpose • Generate false or fraudulent invoices • Misrepresent your GSTIN or tax registration status • Attempt to reverse-engineer or copy any part of the service • Resell or sublicense the service without our written consent

7. GST compliance disclaimer

Digitoly Billing provides tools to assist with GST compliance. However, we do not guarantee that invoices generated will satisfy every requirement of GST law in all circumstances. Tax laws change, and it is your responsibility to ensure compliance. We strongly recommend consulting a qualified Chartered Accountant for tax filing advice. Digitoly is not a tax advisor.

8. Intellectual property

All software, design, content, trademarks, and technology underlying the Digitoly Billing platform are owned by Digitoly Consulting Private Limited and are protected by applicable intellectual property laws. Your business data, customer data, and invoice data remain your property.

9. Limitation of liability

To the maximum extent permitted by applicable law, Digitoly shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability to you for any claim shall not exceed the amount you paid to us in the 3 months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account if you violate these Terms or fail to pay subscription fees. We will provide reasonable notice where possible. On termination, you may export your data within 30 days, after which it will be permanently deleted.

11. Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of Delhi, India. We encourage you to contact us before initiating any legal proceedings.
